01Who We Are & Scope

Moontide Inc. (“Moontide,” “we,” “us,” or “our”) is a California corporation that operates a family of consumer brands, including Moontide Molecules, Moontide Rituals, The Secret Gardien, Art For The World, and Moontide Records, each of which may trade under its own registered fictitious business name (DBA). These Terms & Conditions (“Terms”) govern your access to and use of our websites, online stores, and your purchase of consumer products and merchandise from us (together, the “Services”).

Separate agreements. These Terms apply to direct-to-consumer purchases only. Contract-manufacturing engagements and Moontide Records artist, label, and management services are governed by their own separately signed agreements and are not subject to these Terms.

02Acceptance of These Terms

By accessing our sites or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Refund & Returns Policy and our Privacy Policy, each incorporated here by reference. If you do not agree, please do not use the Services or place an order.

03Eligibility & Age Requirements

You must be at least 18 years old and able to form a binding contract to purchase from us. By placing an order you represent that you meet this requirement and any minimum age required in your jurisdiction. We may request age verification and may refuse or cancel any order that does not meet these requirements. Purchases are void where prohibited by law.

04Products, Descriptions & Availability

We work to describe and display our products accurately, but we do not warrant that product descriptions, images, colors, pricing, or other content are complete, current, or error-free. Product colors and finishes may vary from screen depictions. All products are offered subject to availability; we may limit quantities, discontinue any product, or correct errors, inaccuracies, or omissions at any time without prior notice.

05Orders & Order Acceptance

Your submission of an order is an offer to purchase. No contract is formed until we send an order confirmation or shipping confirmation accepting your order. We reserve the right to refuse, limit, or cancel any order for any lawful reason, including suspected fraud, pricing or description errors, quantity limits, or compliance restrictions. If we cancel an order after you have been charged, we will refund the affected amount.

06Pricing & Taxes

All prices are listed in U.S. dollars and, unless stated otherwise, are exclusive of applicable taxes and shipping charges, which are calculated and displayed at checkout. We collect California sales tax on orders shipped within California at the rate applicable to our Costa Mesa, CA location, and collect sales and use tax elsewhere where required. Prices are subject to change at any time before you place an order.

07Payment Terms

Accepted methods. We accept the payment methods displayed at checkout, which may include major credit and debit cards and third-party payment processors, currently including Zoho Payments.

Authorization & charge timing. By submitting payment information you authorize us and our payment processors to charge the total order amount, including taxes and shipping. Your card may be authorized when you place the order and charged at the time of order confirmation or shipment.

Payment representations. You represent and warrant that you are authorized to use the payment method provided and that the billing information you supply is true, accurate, and complete.

Processing & security. Payments are handled by our third-party payment providers, and your use of those services is subject to their terms and privacy practices. We do not store full payment-card numbers on our systems.

Declines, failed payments & chargebacks. If a payment is declined, reversed, or charged back, we may cancel or hold the related order and may suspend your ability to place further orders until outstanding amounts are resolved. You are responsible for any bank, overdraft, or foreign-transaction fees your issuer may apply.

Pre-orders & backorders. For pre-order or backordered items, we may authorize your payment method at checkout and charge at the time indicated on the product page or at shipment.

Subscriptions & recurring billing. We offer subscription orders on eligible products at a 10% discount off the standard price. By starting a subscription, you authorize us and our payment processors to charge your payment method automatically on a recurring basis, at the interval shown at checkout, until you cancel. The 10% discount applies to each recurring order for as long as the subscription stays active. We will give you advance notice of any change to your subscription price. You may cancel or modify a subscription at any time before the next renewal date through your account or by emailing info@moontideinc.com; cancellation stops future charges but does not affect orders already processed or shipped.

Currency. All transactions are processed in U.S. dollars unless otherwise stated. You are responsible for any currency-conversion charges applied by your financial institution.

08Shipping & Delivery

Shipping methods, costs, and estimated delivery windows are shown at checkout. Delivery timeframes are estimates only and are not guaranteed. Title and risk of loss pass to you upon our delivery of the products to the carrier. We ship only to destinations where our products are lawfully available; some products may be restricted or unavailable in certain locations. See our Refund & Returns Policy for lost, damaged, or incorrect shipments.

09Returns & Refunds

Returns and refunds are governed by our Refund & Returns Policy, which forms part of these Terms. Please note that consumable, wellness, personal-care, custom, personalized, and made-to-order items (including original artwork) are subject to specific limitations described in that policy.

10Product Use & Disclaimers

Our products are intended for general wellness, personal-care, and lifestyle use as described on the applicable product page. They are not medical devices or drugs, and any statements about them are not medical advice and are not a substitute for professional care. If you have a medical condition, are pregnant or nursing, or are taking medication, consult a qualified healthcare provider before use. For topical products, we recommend a small patch test first, and you should discontinue use if irritation occurs. Keep all products out of reach of children and pets, and use only as directed.

11Intellectual Property

All content on our sites and products, including trademarks, logos, brand names, artwork, sound recordings, compositions, photography, packaging, text, and design, is owned by or licensed to Moontide and its brands and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to view and use the Services for personal, non-commercial purposes. Purchasing a physical artwork (Art For The World) or a recording (Moontide Records) does not transfer any copyright, reproduction, or other intellectual-property rights, which are reserved unless expressly granted in a signed writing.

12Accounts & Acceptable Use

If you create an account, you are responsible for keeping your credentials confidential and for all activity under your account, and you agree to provide accurate information. You agree not to use the Services for any unlawful purpose, not to interfere with or disrupt the Services, and not to scrape, copy, or misuse our content or systems.

13Third-Party Links & Services

Our sites may link to third-party websites or rely on third-party services (such as payment or shipping providers). We are not responsible for the content, policies, or practices of third parties, and your dealings with them are solely between you and that third party.

14Disclaimer of Warranties

Except as expressly stated and to the fullest extent permitted by law, the Services and products are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits any warranty or consumer right that cannot be excluded or limited under California law.

15Limitation of Liability

To the fullest extent permitted by law, Moontide and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of or relating to the Services or products. Our total aggregate liability for any claim will not exceed the amount you paid for the product giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16Indemnification

You agree to indemnify and hold harmless Moontide and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of the Services, or your violation of any law or third-party right.

17Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Except where prohibited, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts. Before filing, we encourage you to contact us at info@moontideinc.com so we can try to resolve the matter directly.

18Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Changes take effect when posted, and your continued use of the Services after changes take effect constitutes acceptance.

19General

If any provision of these Terms is found unenforceable, the remaining provisions stay in full force. These Terms, together with the policies incorporated by reference, are the entire agreement between you and Moontide regarding the Services. We may assign these Terms; you may not assign them without our consent. Our failure to enforce any provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control.
